1. General provisions. Subject of the Agreement

1.1. This document is a written offer (Offer) of the MICExperts Limited Liability Company (OGRN 1097746085183, INN 7715748380, hereinafter referred to as the “Organizer”), addressed in accordance with paragraph 2 of Article 437 of the Civil Code of the Russian Federation to any Participant wishing to attend the Organizer's Event on the basis of an Electronic Ticket purchased on the terms and conditions defined in this Offer, by accepting the Offer by the Participant in the prescribed manner (paragraph 3 of Article 438 of the Civil Code of the Russian Federation), which is considered to be compliance with the written form of the Agreement (paragraph 2 of Article 434 of the Civil Code of the Russian Federation). This Offer contains all material terms and conditions of the Agreement.

1.2. This Offer regulates the terms and conditions of the Participant's right to attend the Organizer's Events, the terms and conditions of attending the Organizer's Events, the rights and obligations arising in connection therewith for the Organizer and the Participant. Before accepting this Offer, the Participant shall familiarize himself/herself with its terms and conditions.

If the Participant does not fully accept the terms and conditions of this Offer, the Participant shall not purchase Electronic Tickets for Events. The purchase of Electronic Tickets in the manner specified in this Offer shall mean the Participant's familiarization with and full acceptance of the terms and conditions of this Offer.

1.3. Terms and Definitions

1.3.1. In this Agreement, unless otherwise expressly provided by the text of the Agreement, the following words and expressions used in the interaction of the Parties in the course of fulfillment of obligations shall have the following meanings:

1.3.1.1. The Event is a cultural and educational industry Event organized and held by the Organizer, in order to attend which the Participant purchases an Electronic Ticket through the Electronic Ticketing System of the “Nethouse.Sobytiya” Service at the address: https://events.nethouse.ru/OTYxNjRj/ (Sobytiya LLC (INN 7814755740, OGRN 1197847069111, address: 7 Torfyanaya doroga, bldg. F, office 1318, correspondence address: Russia, 197374, St. Petersburg, P.O. Box Nethouse, hereinafter referred to as “Nethouse.Sobytiya” Service).

The list of the Organizer's Events, conditions for attending the Events are defined on the Organizer's Website.

1.3.1.2. Organizer - MICExperts Limited Liability Company, providing services for holding Events defined on the Organizer's Website, which are attended upon presentation of Electronic Tickets on the terms and conditions defined by the Organizer in this Offer, Privacy Policy, Event Rules and Event Program posted on the Organizer's Website.

1.3.1.3. Participant - an individual with full legal capacity and legal capability, who has read the terms and conditions of this Offer and accepted this Offer, purchasing an Electronic Ticket/ Electronic Tickets through the Electronic Ticketing System of the “Nethouse.Sobytiya” Service.

1.3.1.4. Parties - a joint mention of the Organizer and the Participant.

1.3.1.5. Organizer's Website - a website on the Internet, information and telecommunication network, located at: https://mice-excellence.ru , intended for presentation of Events and sale of Electronic Tickets for Events through the “Nethouse.Sobytiya” Service, providing information to potential visitors of Events, Customers about the Organizer's Events, the possibility to purchase Electronic Tickets through the Electronic Ticketing System of the “Nethouse.Sobytiya” Service.

1.3.1.6. User - any visitor of the Organizer's Website.

1.3.1.7. Acceptance of the Offer - full and unconditional acceptance of the Offer through the Participant's actions specified in this Offer.

1.3.1.8. Electronic Ticketing System - an automated Electronic Ticketing System of the “Nethouse.Sobytiya” Service, through which the Participant acquires an Electronic Ticket to attend the Organizer's Event. The terms of sale of Electronic Tickets are posted on the Website of the “Nethouse.Sobytiya” Service at the following addresses: https://events.nethouse.ru/OTYxNjRj/, https://events.nethouse.ru/agreement/?utm_source=academy_nethouse&utm_medium=user_events&utm_campaign=down_agreement.

1.3.1.9. Electronic Ticket - an electronic entry document generated by the Electronic Ticketing System of the “Nethouse.Sobytiya” Service, confirming the Participant's right to attend the Event and receive the Organizer's services specified in the Electronic Ticket, as well as in the Event Rules and the Event Program posted on the Organizer's website.

1.3.1.10. Nominal value of the Electronic Ticket - the price of attending the Event, which is set by the Organizer of the Event, the information about which is posted in the Electronic Ticketing System of the “Nethouse.Sobytiya” Service.

1.3.1.11. Order - one or more Electronic Tickets for Events selected by the Participant in the Electronic Ticketing System of the “Nethouse.Sobytiya” Service. The full price of the Order includes the nominal price of the Electronic Tickets selected by the Participant.

1.3.1.12. Participant Registration - the Participant enters his/her registration data into the Electronic Ticketing System of the “Nethouse.Sobytiya” Service: surname, first name, patronymic; gender, contact phone number, e-mail address, as well as agrees with the terms of this Offer, with the terms of the Privacy Policy, with the Consent to the processing of personal data by ticking the appropriate box when registering in the Electronic Ticketing System of the “Nethouse.Sobytiya” Service.[TK1].

1.3.1.13. CCRF - the Civil Code of the Russian Federation.

In this document the above definitions are used equally in the singular and plural in the following meanings.

The Offer may use terms not defined in this section of the Offer. In this case, the interpretation of such term shall be made in accordance with the text of the Offer. In the absence of an unambiguous interpretation of the term in the text of the Offer, one should be guided by the interpretation of the term defined by the legislation of the Russian Federation.

1.4. The subject of this Offer is the provision of services to the Participant to ensure the Participant's admission to the Organizer's Event on the basis of an Electronic Ticket purchased by the Participant through the Electronic Ticketing System of the “Nethouse.Sobytiya” Service to the Participant on the terms and conditions of this Offer.

1.5. The purchase of Electronic Tickets by the Participant using the Electronic Ticketing System of the “Nethouse.Sobytiya” Service shall be made under the terms of this Offer for personal use only, excluding resale or transfer of Electronic Tickets to a third party for commercial purposes.

1.6. The Offer comes into effect from the date specified in the “Effective Date” section. The Offer shall be deemed sent from the moment of its publication on the Organizer's Website at the address: https://www.mice-excellence.ru, and shall be valid for the entire period of posting of this Offer at the specified address.

1.7. In accordance with paragraph 2 of Article 437 of the Civil Code of the Russian Federation, in case of acceptance of the terms and conditions set out below, an individual who accepts the Offer becomes a Participant (in accordance with paragraph 3 of Article 438 of the Civil Code of the Russian Federation, acceptance of the Offer is equivalent to the conclusion of a contract on the terms and conditions set out in the Offer).

1.8. Acceptance by the Participant of this Offer shall be carried out by the Participant by successive performance of the following actions:

1.8.1. Registration of the Participant in the Electronic Ticketing System of the “Nethouse.Sobytiya” Service on the terms and conditions posted on the Website of the “Nethouse.Sobytiya” Service;

1.8.2. Selection of the Organizer's Event in the Electronic Ticketing System of the “Nethouse.Sobytiya” Service;

1.8.3. Making an Order for the purchase of an Electronic ticket in the Electronic Ticketing System of the “Nethouse.Sobytiya” Service;

1.8.4. Payment by the Participant of the Order for the purchase of an Electronic Ticket through the Electronic Ticketing System of the “Nethouse.Sobytiya” Service in full.

1.9. Performing all the actions specified in clause 1.8 of the Offer, including full one-time payment by the Participant of the nominal value of the Electronic Ticket/Electronic Tickets through the Electronic Ticketing System of the “Nethouse.Sobytiya” Service means full and unconditional acceptance by the Participant of all the terms of the Offer, Privacy Policy, is recognized by the Parties as an analogue of the Participant's handwritten signature, i.e. the Participant's consent to enter into an Agreement with the Organizer on the terms of this Offer. The offer and Privacy Policy are always posted on the Organizer's Website. The Organizer has the right to make unilateral changes to this Offer, but in any case, such changes are published in a timely manner and are generally available on the Website. The Participant's use of the Organizer's services after making changes to the text of the Offer shall mean acceptance of the Offer taking into account the changes made without any exceptions or limitations.

1.10. By accepting the Offer, the Participant:

a) has fully familiarized with the terms and conditions of this Offer;

b) fully understands the subject of this Offer (Agreement);

c) has familiarized himself/herself with the terms and conditions of this Offer and fully understands the meaning and consequences of his/her actions in relation to the conclusion and execution of the Agreement;

d) undertakes to provide accurate and complete information when using the Organizer's Website, when making an Order and its payment;

e) fully familiarized and agrees with the terms and conditions of the User Agreement of the “Nethouse.Sobytiya” Service, posted at: https://events.nethouse.ru/agreement/?utm_source=academy_nethouse&utm_medium=user_events&utm_campaign=down_agreement and undertakes to comply with them.

f) undertakes to independently verify the Order data immediately before its registration, the Electronic Ticket data immediately after its receipt. The Customer bears full responsibility for the accuracy and legality of the use of the data specified by him/her when placing an order.

1.11. The procedure for processing personal data of Users / Participants is defined in Section 9 of the User Agreement of the “Nethouse.Sobytiya” Service posted at: https://events.nethouse.ru/agreement/?utm_source=academy_nethouse&utm_medium=user_events&utm_campaign=down_agreement , as well as in the Organizer's Privacy Policy posted on the Organizer's Website at: https://mice-excellence.ru/privacy .

2. The procedure for purchasing Electronic Tickets for the Organizer's Events

2.1. The Rules for the purchase of Electronic Tickets are posted in the Electronic Ticketing System of the “Nethouse.Sobytiya” Service.

2.2. The Participant has the right to purchase an Electronic Ticket for the Event by wire transfer at the prices indicated on the Event Website, as well as in the Electronic Ticketing System of the “Nethouse.Sobytiya” Service. The Participant has the right to pay for the Order in any of the ways offered by the “Nethouse.Sobytiya” Service, information about which is available in the Electronic Ticketing System of the “Nethouse.Sobytiya” Service.

2.3. The Electronic Ticket confirms the Participant's right to attend the Event chosen by the Participant and receive the services of the Organizer to the extent specified in the Electronic Ticket, as well as in the Rules of the Event and the Program of the Event posted on the Event Website.

2.4. The Organization shall not be responsible for any discrepancy between the Event conducted by the Organizer and the Participant's expectations and/or subjective assessment.

2.5. The Organizer has the right to make changes to the Event Program, notifying the Participant by posting the latest information on the Organizer's Website in the Event information section, including replacing speakers. All changes shall come into effect immediately after their posting on the Organizer's Website and shall be deemed to be communicated to the Participant from the moment of such publication. Use of the Organizer's Website by the User or Participant for the purposes of placing an Order, for other purposes after making changes to the Offer, the Program of the Event, other changes to the information posted on the Organizer's Website means the User's or Participant's consent to the changes made.

2.6. The Organizer shall be entitled to unilaterally change the Event format, replacing the offline format of the Event (with face-to-face attendance of the Event visitors at the venue) with the online format of the Event, due to the need for the Organizer to take measures aimed at preventing the spread of new coronavirus infection under the current high alert regime. The Organizer shall notify the Participant of the change of the Event format by posting the said information on the Organizer's Website.

3. Refund of the Electronic ticket to the Organizer's Event

3.1 The conditions for returning the Electronic Ticket are defined in the User Agreement of the “Nethouse.Sobytiya” Service.

4. Responsibility

4.1. The parties shall not be liable if non-fulfillment or improper fulfillment of the Offer terms and conditions is caused by force majeure circumstances that arose against the will and desire of the parties and which they could not prevent, avoid or foresee (force majeure).

4.2. The Organizer shall not be liable and shall not compensate the Participant for any losses (including direct and indirect losses) for failures, interruptions in the operation of the software of the Electronic Ticketing System of the “Nethouse.Sobytiya” Service, beyond the control of the Organizer, the “Nethouse.Sobytiya” Service, as a result of or in connection with the actions and (or) inactions of third parties providing communication services, power supply, including if the latter is not under the direct control of the Organizer of the “Nethouse.Sobytiya” Service.

The Organizer is not responsible for the inability to provide services by the Organizer / acceptance of services by the Participant, if such inability has arisen due to disruption of the Internet, software or equipment of the Participant.

The Organizer has the right to close access to the Event Website without prior notice to the User / Participant and shall not be liable for temporary or permanent termination of access to it for reasons beyond the control of the Organizer. The Organizer shall not be liable for direct and/or indirect losses resulting from the use or inability to use the Event Site, the “Nethouse.Sobytiya” Service and unauthorized access to them.

4.3. The Participant shall bear all responsibility under the current legislation of the Russian Federation for the consequences resulting from the provision of inaccurate or knowingly false information and shall be liable for violation of the rights and interests of other persons as a result of such actions.

4.4. The Participant bears all responsibility under the current legislation of the Russian Federation for unlawful actions with bank cards or other means of payment aimed at making the Order and its payment.

4.5. The Participant assumes full responsibility and risks associated with placing Orders, conclusion and execution of the Agreement with the Organizer. The Participant is solely responsible for any problem arising in the process of registration, processing, confirmation and payment of the Order when purchasing an Electronic Ticket through the “Nethouse.Sobytiya” Service. In such case, the Organizer is not responsible for any damage (monetary or otherwise) resulting from a problem caused or caused by an error or negligence of the Participant when using the Organizer's Website, the “Nethouse.Sobytiya” Service, including unsuccessful completion or confirmation of any operation.

4.6. Disputes arising from the execution of the agreement concluded under the terms of this Offer shall be resolved in a claim procedure. The claim shall be submitted to the Organizer in writing to the address of the Organizer with the attachment of documents justifying the claims. The received claim shall be considered by the Organizer within 30 (thirty) calendar days from the date of its receipt. If disputes and disagreements between the Parties cannot be settled through negotiations, they shall be resolved in court at the location of the Organizer.

4.7. In any case, the Organizer's liability for compensation of losses in connection with the non-fulfillment / improper fulfillment of this Offer may not exceed the value of the Electronic Ticket purchased by the Participant through the “Nethouse.Sobytiya” Service.

To the fullest extent permitted by applicable law, and notwithstanding any other provisions of this Offer, the total amount of the Organizer's liability to the Participant or any natural or legal person making claims through the Participant, as a result of relations with the Participant or at the direction of the latter, in respect of any grounds for action, claims, damages, demand, liability, losses and processes of any type and nature, including all legal fees, court costs, and representative fees arising from or related in any way to this Offer, regardless of the cause or causes, including, but not limited to, any breach of Agreement, costs of correcting deficiencies, negligence or objective liability will not exceed the cost of an Electronic Ticket purchased by the Participant through the “Nethouse.Sobytiya” Service.

4.8. In case of violation by the Participant of any of the Participant's obligations stipulated by the Offer, the Organizer shall have the right to refuse to perform the Offer and terminate the Agreement unilaterally out of court.

4.9. In all other matters not provided for by this Offer, the Parties shall be guided by the current legislation of the Russian Federation.

5. Special conditions

5.1. The information provided to the Participant during the Event is the intellectual property of the Organizer and other right holders and is subject to protection in accordance with the laws of the Russian Federation. Dissemination of the information obtained at the Events for commercial purposes is inadmissible.

5.2. The monetary obligations arising in the relations of the parties under this Agreement shall not be subject to Article 317.1 of the Civil Code of the Russian Federation and legal interest shall not be accrued.

5.3. All suggestions, questions and notices regarding this Offer should be communicated to the Organizer at the e-mail address: hello@mice-excellence.ru, or at the Organizer's location address specified in this Offer.

5.4. If any provision of the Offer is or becomes invalid due to contradiction or changes in the current legislation of the Russian Federation, it is not a reason to suspend the validity of the remaining provisions of the Offer.

5.5. The Parties shall not be entitled to assign their rights from the Agreement in full or in part without the prior written consent of the other Party.

5.6. The Agreement is the final agreement between the Parties regarding the subject matter and content of the Agreement. From the moment of Acceptance, all previous agreements, understandings and decisions of the Parties shall become null and void.
